The North Calgary Community Church was interested in acquiring property on which to build a new church. In 1993, a tract of land was acquired by 510207 Alberta Ltd., a company formed by the pastor of the Church and the Respondent, Slater. They prepared an Offering Memorandum with a view to attracting investors to the property so that it could be subdivided and sold in residential lots, with a portion set aside for the church building site. When the land was subdivided in 1998, the Church filed a caveat claiming an option to purchase 4.51 acres for $125,000, based on the wording of the Offering Memorandum. The Respondents opposed the sale of the land to the Church. The applications judge held that the caveat was valid and ordered the Respondents to transfer the land to the Church. This decision was overturned on appeal.
