In Superior Court, the Respondent sued jointly and severally five persons in various capacities and for different amounts. Claims were filed against two corporations for the balances owed on their bank transactions and credit margins. Claims were made against two individuals, Robert Mandel and Gabriel Segal, as guarantors for the two corporations. The Appellant was sued as hypothecary guarantor for her husband Robert Mandel.

On October 19, 1994, the lawyers for the Respondent transmitted a settlement offer to the lawyers for the Appellant. On October 24, 1994, at the outset of the trial, the Appellant filed an amended statement of defence in which she alleged that, firstly, a transaction was entered on October 19 and, secondly, the Respondent had failed to take action upon this transaction.

The Superior Court judge condemned the corporations and their two guarantors to pay the sums claimed by the Respondent. The transaction was found by the trial judge to bind the Respondent and the Appellant; the Respondent was ordered to accept as constituting payment from the Appellant the amounts provided for in the transaction, namely $125,000 as to capital and $ 6,500 as to costs.

On October 22, 2002, the Court of Appeal upheld the trial judgement insofar as the Appellant was concerned. However, the Court of Appeal ordered the Appellant to pay the Respondent interests at the legal rate and the additional indemnity on these two sums, since the Appellant had failed to deposit, when required to do so, the sums owed pursuant to the settlement offer.

On November 25, 2002, the Court of Appeal denied the Appellant’s motion for leave to appeal to the Supreme Court of Canada and granted the Appellant a stay of execution on the judgment insofar as it applied to her
