Sanimal recovers, processes and resells animal by-products that it buys from Colbex and Levinoff. The contracts contain a superior force clause authorizing Sanimal to suspend application of the contract in cases of superior force. On May 20, 2003, the "mad cow" crisis broke out. On May 22, the applicants, relying on the superior force clause, suspended the contract and stopped all payments. However, the respondents continued delivering animal by-products. The respondents brought an action claiming the amounts owed under the terms of their contracts. They also filed a motion seeking a safeguard order.
