The parties are corporations. The respondent brought court proceedings against the applicant in the Quebec Superior Court. After the applicant’s lawyer ceased representing it, the director and shareholder of the applicant appeared before the court on its behalf.

Legal persons are required to be represented before the courts by a lawyer. The Quebec Superior Court found that the applicant had failed to obtain new counsel and allowed the respondent’s application. Another Superior Court judge dismissed an application for revocation, and the Quebec Court of Appeal allowed an application to dismiss the appeal.
